The Vendors2 undertake （for the benefit of the Purchaser， the Company， [the Subsidiaries] and the Purchaser's successors in title） that the Vendors will not and that they will procure3 that none of the members of the Vendors' Group will：
（A） for the period of [.] years after the Closing Date either on its own account or in conjunction with or on behalf of any person， firm or company， carry on or be engaged， concerned or interested （directly or indirectly4 and whether as principal， shareholder5， director， employee， agent， consultant7， partner or otherwise） in carrying on any Restricted Business， other than as a holder6 for investment purposes only （which shall exclude a management function or any material influence） of any shares， debentures8 or other participation9； and
（B） for the period of [.] years after the Closing Date either on its own account or in conjunction with or on behalf of any person， firm or company， solicit10 or endeavour to entice11 away from the Company [or any of the Subsidiaries] any person who at the Closing Date is or who within a period of one year prior to the Closing Date has been an officer， manager， senior employee， agent or consultant of the Company [or any of the Subsidiaries] whether or not such person would commit a breach12 of contract by reason of leaving service or office； and
（C） for the period of [.] years after the Closing Date either on its own account or in conjunction with or on behalf of any person， firm or company， in connection with any Restricted Business， solicit the custom of or endeavour to entice away from the Company [or any of the Subsidiaries] any person who at the Closing Date is or who within a period of one year prior to the Closing Date has been a client or customer of the Company [or any of the Subsidiaries] whether or not such person would commit a breach of contract by reason of transferring business； and
（D） for the period of [.] years after the Closing Date either on its own account or in conjunction with any Restricted Business deal with any person who at the Closing Date is or who within a period of one year prior to the Closing Date has been a client or customer of the Company [or any of the Subsidiaries] whether or not such person would commit a breach of contract by reason of transferring business； and
（E） for the period of [.] years after the Closing Date either on its own account or in conjunction with or on behalf of any person， firm or company， in connection with any Restricted Business endeavour to entice away from the Company [or any of the Subsidiaries] any person who at the Closing Date is or who within a period of one year prior to the Closing Date has been a supplier of the Company [or any of the Subsidiaries] whether or not such person would commit a breach of contract by reason of transferring business； and
（F） at any time after the date of this Agreement， directly or indirectly use or attempt to use in the course of any business on its own account or in conjunction with or on behalf of any person， firm or company， any valid13 trade or service mark， trade name， design or logo [（whether registered or not and including the Listed Intellectual Property referred to in 1）e））] used in the business of the Company [or any of the Subsidiaries] or any other name， logo， trade or service mark or design which is or might be confusingly similar thereto.
14.2 承诺
（为买方、公司「子公司」、和买方继受者之利益）卖方和卖方组的每一位成员都承诺将不会：
（A） 自买卖完成之日起[.]年内，以我们的名义、或联合任何个人、商号、公司、或以任何个人、商号、公司从事（直接或间接地担任被代理人、股东、董事、雇员，代理人，咨询师、合作伙伴、等等）任何受限制的商业活动、或与任何受限制的商业活动有利益关系。仅为投资之目的（不可以使管理职能和不推行实质性的影响）而持有股份、债券与其他类似的参与方法除外；和
（B） 自买卖完成之日起[.]年内，以我们的名义、或联合任何个人、商号、公司或以任何个人、组织、企业的名义怂恿或诱使那些在买卖完成之时或买卖完成之前一年内仍在公司「或任何子公司」任高级员工、管理者、资深职员，代理商或咨询师的雇员离开公司（或子公司），无论此雇员是不是因离开岗位而构成违约；和
（C） 自买卖完成之日起[.]年内，以我们的名义、或联合任何个人、商号、公司、或以任何个人、商号、企业的名义、或与任何受限制的商业活动有利益关系，怂恿或诱使那些在买卖完成之时或买卖完成之前一年内仍是公司（「或子公司」顾客或买家的人抛弃公司和自己买卖，无论此人是不是因转移业务而构成违约；和
（D） 自买卖完成之日起[.]年内，以我们的名义、或因从事受限制的商业活动，和那些在买卖完成之时或买卖完成之前一年内仍为公司「或子公司」顾客或买家的人进行买卖，无论此人是不是因转移业务而构成违约。
（E） 自买卖完成之日起[.]年内，以我们的名义、或联合任何个人、商号、公司、或以任何个人、组织、企业的名义、或与任何受限制的商业活动有利益关系，怂恿或诱使那些在买卖完成之时或买卖完成之前一年内仍为公司「或子公司」提供商的人抛弃公司「或子公司」和自己买卖，无论此人是不是因转移业务而构成违约；和
（F） 自协议签订后任何时间内，以我们的名义、或联合任何个人、商号、公司、或以任何个人、组织、企业的名义直接或间接借助或企图借助公司「或子公司」经营中用的服务标记、商业名字、设计策略、标识「（无论注册与否，包含1）e」提到的常识产权清单」或借助其他与之容易混淆的类似的服务商标、商业名字、设计策略或标识。
